1. Introduction
Welcome to Lotus365, available at lotus365.network and through its related software and applications (the “Service”). The Service is operated by Lotus365 AI Books Ltd, with its registered address at 27/3, W 1, Opposite Mother Dairy, DESU Road, Mehrauli, New Delhi-110030 India (“Lotus365,” “we,” “us,” or “our”).
These Terms and Conditions (“Terms”) govern your access to and use of the Service. By accepting these Terms when registering or purchasing, or by using the Service where such use constitutes valid acceptance under applicable law, you agree to be bound by them.
If you use the Service on behalf of a business or another organisation, you confirm that you have authority to accept these Terms on its behalf. If you do not agree, you must not use the Service.
2. Description of the Service
Lotus365 is AI-powered bookkeeping software that helps users extract and organise accounting information from uploaded spreadsheets, receipts, bills, and other supported financial records.
365-day bookkeeping periods: Lotus365 is designed around periods of exactly 365 consecutive days. The selected start date is day one, and the closing date is the start date plus 364 days. You must ensure that the period used meets your reporting requirements; a fixed 365-day period may differ from a calendar year or statutory financial year.
Processing time: References to “365 Days Book Keeping in 60 Seconds” describe an indicative AI processing time after upload. They exclude collecting records, uploading files, reviewing results, and correcting errors. Actual processing time may vary with file size, record volume, document quality, connectivity, and service availability.
Available features, supported formats, usage limits, and access options depend on the version and plan you use. Lotus365 provides software assistance; it does not replace qualified accounting, tax, or legal professionals.
3. Eligibility and Availability
You must be at least 18 years old and legally capable of entering into a binding agreement in your jurisdiction.
You may use the Service only where doing so is lawful. You must comply with applicable sanctions, export restrictions, and other laws governing your access to the software.
Availability may vary by location, technical requirements, or legal restrictions. We may restrict access where required by law.
4. User Accounts
You must provide accurate registration information and keep it reasonably up to date.
You are responsible for protecting your login credentials, managing access granted to other users, and activity that you authorise through your account. Notify us promptly if you suspect unauthorised access or a security incident.
Business account administrators are responsible for assigning appropriate permissions and removing access when it is no longer authorised.
We may suspend or terminate accounts in accordance with Section 14.
5. Subscriptions, Payments, and Cancellation
Plans and fees: If you purchase a paid plan, the price, billing period, included features, and usage limits will be disclosed before purchase. Any applicable taxes or additional charges will also be disclosed.
Recurring billing: Where you choose an automatically renewing subscription, you authorise us and our payment processor to charge your selected payment method at the disclosed intervals until you cancel.
Cancellation: You may cancel a recurring subscription before its next renewal through the cancellation method provided with your plan or by contacting us at [email protected]. Cancellation stops future renewals. Unless otherwise stated in your plan, access continues until the end of the period already paid for.
Refunds: Except where applicable law requires otherwise or our published refund policy expressly provides otherwise, payments for a billing period that has already started are non-refundable, including partially used periods. This does not affect any statutory cancellation or refund rights.
Failed payments: We may restrict paid features if payment fails. Where practicable, we will notify you and provide an opportunity to update your payment details.
Price changes: We will notify affected subscribers before a price increase applies. Changes apply prospectively at a future renewal, allowing you to cancel before the new price takes effect.
Trials and promotions: Any free trial, discount, or promotional access is subject to the conditions disclosed when offered. Any conversion to a paid subscription must be disclosed before enrolment and authorised where required by law.
A separately signed enterprise agreement takes precedence over these Terms to the extent of a conflict.
6. Privacy, Data Security, and Deletion
Our Privacy Policy explains how personal information is collected, processed, shared, and retained. We handle personal information in accordance with that policy and applicable data-protection law.
Security: We take reasonable technical and organisational measures to protect information processed through the Service. No online system can guarantee absolute security.
Data residency: Any commitment to store or process data in a particular country or region must be expressly stated in your plan or a written agreement with us.
Access and deletion: You may contact us to request access to, correction of, or deletion of your information. Requests are subject to identity verification, applicable law, and any lawful retention requirements. Deletion may not immediately remove information from backups or records that must be retained by law.
Your records: Keep independent copies of original documents and any records you must retain. Do not use the Service as your only archive for legally required financial records.
7. Accountants, Bookkeepers, and Client Data
If you use Lotus365 on behalf of clients, you must have their consent or another valid legal basis to upload and process their information.
You are responsible for ensuring that your access, permissions, and use comply with your client agreements, confidentiality obligations, and applicable law.
Clients and other rightful owners retain their rights in the financial records supplied to the Service. Giving an accountant or bookkeeper access does not transfer ownership of those records to Lotus365.
Using the Service does not verify, certify, or endorse a user's professional qualifications.
8. Third-Party Services and Integrations
Where the Service offers third-party integrations or links, those services may have separate terms, privacy policies, fees, and technical limitations.
You are responsible for authorising connections and checking what information you share with an external service.
Third-party outages, access changes, or restrictions may affect connected features. We are not responsible for matters outside our reasonable control, subject to applicable law and our own contractual and data-protection obligations.
A link or integration does not, by itself, constitute an endorsement of the third party.
9. Platform Role and AI Outputs
Lotus365 is a software provider. It does not provide professional accounting, auditing, tax, legal, or investment advice.
AI-generated information may contain incorrect amounts, dates, classifications, calculations, omissions, or interpretations. The quality of an output may also depend on the accuracy and clarity of the information uploaded.
All outputs must be reviewed against your original records before use. Obtain qualified professional advice where appropriate, particularly before filing returns, preparing statutory accounts, or making decisions with legal or financial consequences.
Use of the Service does not create a professional adviser–client relationship.
10. User Responsibilities and Acceptable Use
You agree to:
- Upload information that you are lawfully entitled to use and process.
- Provide complete and accurate records to the extent reasonably possible.
- Check AI-generated results and correct errors before relying on them.
- Meet your applicable accounting, tax, privacy, and record-retention obligations.
- Protect confidential information and manage access permissions appropriately.
You must not use the Service to falsify accounts, conceal unlawful activity, infringe another person's rights, upload malicious software, obtain unauthorised access, or disrupt the platform.
You must not bypass access controls or usage limits, redistribute the software without permission, or reverse-engineer it except where applicable law permits.
11. Intellectual Property and Your Content
The software, website design, branding, and other materials supplied by Lotus365 belong to us or our licensors, except where otherwise stated.
Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable licence to use the Service for your own lawful business purposes and authorised client work.
You retain your rights in the records and other content you upload. You grant us and our contracted service providers permission to host, process, and reproduce that content only as reasonably necessary to provide, maintain, and secure the Service, in accordance with our Privacy Policy.
These Terms do not transfer ownership of your financial records to us.
12. Disclaimers and Limitation of Liability
To the extent permitted by law, the Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, error-free AI outputs, or that every output will meet a particular accounting or regulatory requirement.
To the maximum extent permitted by law, we are not liable for indirect or consequential losses, including lost profits, lost business opportunities, or losses resulting from reliance on unverified AI outputs.
Subject to the exceptions below, our total aggregate liability arising from or relating to the Service is limited to the fees you paid us for the Service during the 12 months immediately preceding the event giving rise to the claim.
These exclusions and limits do not apply to fraud, wilful misconduct, or any liability that applicable law does not allow us to exclude or limit. Nothing in these Terms removes mandatory consumer rights.
13. Indemnification
To the extent permitted by law, you agree to indemnify us against third-party claims and reasonable associated costs arising from your unlawful use of the Service, infringement of another person's rights, or material breach of these Terms.
This obligation applies only to the extent the claim is attributable to your conduct. It does not cover claims caused by our own negligence, wilful misconduct, or breach of these Terms.
We will notify you of a claim for which we seek indemnification and provide a reasonable opportunity to respond.
14. Suspension, Termination, and Changes
Suspension or termination: We may restrict or end access where necessary to address a material breach of these Terms, unpaid fees, a security threat, unlawful activity, or a legal requirement. Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.
Ending your account: You may request account closure by contacting us. Account closure, subscription cancellation, and data deletion are separate requests unless the relevant process expressly combines them.
Service changes: We may update features or discontinue parts of the Service. If we permanently discontinue a paid service before the end of a prepaid period, we will provide reasonable notice where practicable and refund the unused portion of the affected fees, subject to applicable law.
Terms changes: We may update these Terms and publish a revised date. We will provide advance notice of material changes and obtain additional acceptance where required by law. Continued use after the effective date constitutes acceptance only where legally permitted.
Terms concerning accrued payment obligations, intellectual property, liability, and dispute resolution survive termination to the extent necessary to give them effect.
15. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, subject to any mandatory protections that apply in your jurisdiction.
Subject to those protections, disputes will be heard by the courts of New Delhi, India.
Please contact us first so that we can attempt to resolve a concern in good faith. This does not restrict your right to approach a competent court, regulator, or statutory dispute-resolution body.
If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.
